ComplyZap Terms and Conditions

1. Acceptance of Terms

These Terms, along with our Privacy Policy, form the entire agreement between you and us. We may update these Terms, with changes posted on the Website and notified via email. Continued use after updates constitutes acceptance.

2. Description of Service

ComplyZap offers compliance solutions, including client identity verification (via Idenfy) and regulatory updates (via Scrapy), for small UK regulated firms (e.g., law firms, accountants, real estate agencies). Services include KYC/PEP screening, regulatory alerts, and integrations (e.g., Clio, QuickBooks), accessible via subscription plans.

3. Eligibility

• You must be at least 18 years old and have the legal capacity to enter a contract.
• Services are intended for businesses in regulated sectors (e.g., financial advice, law). Personal use is prohibited.

4. Subscription

• Billing: Monthly via credit card or bank transfer, with prorated adjustments for upgrades. Free Trial converts to Silver unless canceled.
• Renewal: Subscriptions auto-renew unless canceled 7 days prior (via account settings or email to support@complyzap.io).
• Refunds: No refunds for paid plans; Free Trial is non-refunded if unused checks expire.

5. User Responsibilities

• You must provide accurate data for ID verification and comply with FCA, SRA, and GDPR regulations.
• You are liable for client data submitted via Idenfy and must obtain consent where required.
• Unauthorized use (e.g., reselling services, exceeding check limits) is prohibited.

6. Intellectual Property

All content on complyzap.io (e.g., branding, navy/teal/gold design) is owned by Churchill Solutions FZCO. You may not reproduce, modify, or distribute our materials without written consent.

7. Limitations of Liability

• ComplyZap is provided “as is.” We do not guarantee uninterrupted service or error-free results.
• Our liability is limited to the amount you paid us in the last 12 months, excluding indirect damages (e.g., lost profits).
• Idenfy and third-party providers (e.g., AWS) are not liable under these Terms.

8. Termination

• We may suspend or terminate your account for breach (e.g., illegal use), with 7 days’ notice unless immediate action is required.
• You may cancel anytime via account settings, with termination effective at the end of the billing cycle.
• Upon termination, data is retained per our Privacy Policy (e.g., 5 years for client data).

9. Compliance and Data Protection

We comply with GDPR, FCA Money Laundering Regulations 2017, and SRA Code, processing data as outlined in our Privacy Policy. You agree to use ComplyZap in compliance with applicable laws and indemnify us against breaches caused by your actions.

10. Third-Party Services

Idenfy provides ID verification; Scrapy powers regulatory updates. Their terms apply to data processed via their APIs. We are not responsible for third-party downtime or data breaches.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Disputes will be resolved through negotiation, then mediation. If unresolved, proceedings may be brought in the courts of England and Wales.

12. Changes to Service

We may modify features, pricing, or discontinue plans with 30 days’ notice via email or the Website. Corporate plans may be customized based on your needs, subject to separate agreements.

14. Miscellaneous
